Acceptance of terms

These Draft Terms of Service are provided for review purposes. If you access or use HOAAdminly, your use is subject to evaluation conditions. These terms are not yet a binding agreement between you and ONYXora LLC, based in Omaha, Nebraska, USA.

Association authority and accounts

If you create an association workspace on HOAAdminly, you represent and warrant that you have the legal authority to bind the homeowners association, community, or management company to these terms. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

Acceptable use

You may use HOAAdminly only for lawful community management purposes. You agree not to use the service to store illegal content, harass individuals, attempt to breach our security systems, or disrupt the platform’s operation for other users.

User content and limited license

You retain ownership of the data, documents, and records you upload to HOAAdminly. By providing this content, you grant ONYXora LLC a limited, worldwide, non-exclusive license to host, store, process, and display your content solely for the purpose of operating and providing the HOAAdminly service to you and your authorized users.

Payment processing availability

Eligible associations can offer one-time online ACH payments and recurring ACH autopay after completing Stripe onboarding. Availability and payment status are shown in the association workspace. Platform subscription checkout is not currently available, and checks, cash, or bank-reference receipts remain available for associations that use them.

Suspensions and termination

We reserve the right to suspend or terminate your access to HOAAdminly at our discretion, without prior notice, if we believe you have violated these terms, engaged in fraudulent activity, or if required by law or to protect our systems.

You may terminate your use of the platform at any time by ceasing to use the service and contacting us to close your account.

Disclaimers and limitations of liability

HOAAdminly is provided on an AS IS and AS AVAILABLE basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be error-free or uninterrupted.

To the maximum extent permitted by law, ONYXora LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.

Applicable law

These terms shall be governed by and construed in accordance with the laws of the State of Nebraska, USA, without regard to its conflict of law principles. Mandatory consumer protection laws applicable to you remain preserved.
